These Terms of Service ("Terms") are a binding agreement between you ("you" or "Client") and Montana AI Consulting ("we," "us," or "Company"), a Montana-based consulting practice operating at www.montanaaiconsulting.com (the "Site"). By using the Site or engaging us for services, you agree to these Terms.
Montana AI Consulting provides artificial intelligence advisory, Microsoft Copilot and ChatGPT training, workflow automation, and ongoing AI support to businesses, nonprofits, tribal enterprises, and public-sector teams primarily located in Montana. Specific deliverables, fees, timelines, and acceptance criteria for any paid engagement are defined in a separate written Statement of Work, proposal, or order form (each, an "SOW"). If an SOW conflicts with these Terms, the SOW controls for that engagement.
You must be at least 18 years old and authorized to bind the organization you represent. By using the Site or signing an SOW, you represent that you meet these requirements.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for lawful informational purposes. You agree not to:
Certain features (such as client portals or gated resources) may require an account. You are responsible for keeping your credentials confidential and for all activity under your account. Notify us promptly at [email protected] if you suspect unauthorized use.
Engagements typically include one or more of: AI strategy and roadmap work, Copilot or ChatGPT training, automation build-outs, ongoing support retainers, and city- or industry-specific advisory. Each SOW will describe the scope, fees, invoicing schedule, expense policy, and acceptance process. Unless the SOW says otherwise, services are provided on a time-and-materials basis and either party may terminate with 30 days' written notice.
Fees are stated in U.S. dollars and are exclusive of applicable taxes. Invoices are due within 15 days of receipt unless the SOW says otherwise. Past-due balances accrue interest at 1.0% per month or the maximum allowed by Montana law, whichever is lower. You are responsible for sales, use, and similar transaction taxes other than taxes on our net income.
To get value from our work, you agree to: provide timely access to the people, systems, documents, and decision-makers needed for the engagement; obtain any required third-party consents and licenses (including for software we configure or data we process on your behalf); and tell us promptly if regulated data (e.g., PHI, CJIS, FERPA, GLBA, or tribal data) will be involved so we can scope appropriate safeguards.
We retain all rights in our pre-existing materials, frameworks, templates, training curricula, prompts, code libraries, and methodologies ("Background IP"). Subject to full payment, we grant you a perpetual, non-exclusive, worldwide license to use any Background IP embedded in deliverables solely for your internal business purposes. Deliverables specifically created for you and identified as such in an SOW are assigned to you upon full payment, excluding Background IP.
You retain all rights in your own data, content, and materials provided to us ("Client Materials") and grant us a limited license to use them only to deliver the services.
Our work often involves third-party AI systems (e.g., Microsoft Copilot, OpenAI, Google, Anthropic). You acknowledge that:
Each party will protect the other's non-public business information with the same care it uses for its own confidential information (and at minimum reasonable care), and will use it only to perform or receive the services. Confidentiality obligations survive termination for three (3) years, or indefinitely for trade secrets.
The Site and any free resources are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Paid services are performed in a professional and workmanlike manner consistent with industry standards; this is our sole warranty for paid work and replaces all other warranties to the maximum extent permitted by law.
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, or data, even if advised of the possibility. Our aggregate liability arising out of or related to these Terms or any SOW will not exceed the fees you paid us under the applicable SOW in the twelve (12) months before the event giving rise to the claim. These limits do not apply to a party's indemnification obligations, breach of confidentiality, or liability that cannot be limited under applicable law.
You will defend and indemnify us against third-party claims arising from your Client Materials, your use of AI outputs, or your violation of these Terms or applicable law. We will defend and indemnify you against third-party claims that our Background IP, as delivered by us and used as permitted, infringes a U.S. intellectual property right, subject to standard exceptions (combinations, modifications, or use contrary to our instructions).
Either party may terminate an engagement for material breach not cured within 15 days of written notice. You will pay for all services performed and expenses incurred up to the effective date of termination. Sections that by their nature should survive (including IP, confidentiality, disclaimers, limitations of liability, indemnification, and governing law) survive termination.
These Terms are governed by the laws of the State of Montana, without regard to its conflict-of-laws rules. The parties consent to the exclusive jurisdiction of the state and federal courts located in Yellowstone County, Montana, for any dispute not subject to informal resolution. Before filing suit, the parties will attempt in good faith to resolve disputes through direct discussion for at least 30 days.
We may update these Terms from time to time. Material changes will be noted by updating the "Effective" date above and, where appropriate, by notice on the Site. Your continued use of the Site or our services after changes take effect constitutes acceptance.
